Purpose
Ostello provides a platform connecting Course Providers with students, enabling the listing, promotion, and sale of educational courses while ensuring high-quality learning experiences for students.
Responsibilities of the Course Provider
Course Commitments
- Provide accurate and complete details about the courses, including curriculum, schedules, demo classes, fees, and benefits.
- Fulfill all commitments made in the course description, FAQs, marketing materials, or promotional content.
- Ensure that all promised live classes, recorded lectures, and resources are delivered in full and on time.
Continuous Support
- The Course Provider must not abandon a course or leave midway without completing the course in its entirety and fulfilling all obligations to students as per the description and marketing commitments.
- Provide consistent support to students throughout the course duration, as outlined in the Ostello plan.
Content Maintenance
- Regularly update course materials to maintain relevance and quality.
- Align content with current standards for the respective exam or curriculum.
Student Access
- Ensure course access remains available to students for the duration specified in the course description.
- Access should align with the tenure of the respective exam or course timeline.
Content Security
- The Course Provider retains 100% ownership of course materials.
- Ostello will not modify or use the content without prior consent from the Course Provider, except in cases of flagged or disputed content requiring review.
Responsibilities of Ostello
- Provide a platform for listing, marketing, and selling courses.
- Use lawful and transparent marketing strategies to maximize visibility and sales for listed courses.
- Offer tools and dashboards to help the Course Provider track performance and sales.
Marketing Authorization
The Course Provider authorizes Ostello to market courses through various channels (e.g., digital ads, social media, partnerships) to boost visibility and revenue. Ostello will notify Course Providers before using their branding materials or content for marketing purposes.
Quality Assurance
The Course Provider must:
- Ensure course materials meet the standards outlined in the course listing.
- Deliver all promised resources and live/recorded sessions.
- Regularly update content to maintain quality and relevance.
Revenue Sharing and Payments
Receiving Payments
- Own a valid bank account, UPI ID, or digital wallet account and provide accurate details.
- Submit required identification or tax documentation (such as PAN or GST details).
- In cases of incorrect account details, payments will be delayed until corrections are made, and Ostello shall not be held liable for delays caused by such inaccuracies.
Transaction Taxes
- Ostello will collect and remit Goods and Services Tax (GST) or similar transaction taxes to the relevant authorities for purchases in applicable countries.
- Ostello may adjust the sale price to account for such taxes, notifying the Course Provider of any changes.
- For purchases made through mobile applications, the respective platform (e.g., Apple’s App Store, Google Play) will collect applicable Transaction Taxes.
- Revenue generated from course sales will be shared as per the agreement at the stage of onboarding.
- Payments to the Course Provider will be disbursed monthly, after deducting Ostello’s commission and applicable taxes.
- Own a valid bank account, UPI ID, or digital wallet account and provide accurate details to receive timely payments.
- Submit required identification or tax documentation (such as PAN or GST details).
Content Ownership and Responsibility
Ownership and Authorization
The Course Provider affirms that they either:
- Own the intellectual property rights to all content (including but not limited to videos, study materials, notes, images, and recorded lectures) uploaded to Ostello’s platform, or
- Have obtained all necessary permissions, licenses, or authorizations from the rightful owner(s) to use and distribute the content through Ostello.
Third-Party Content Uploads:
If the Course Provider uploads third-party content without proper authorization
- The Course Provider shall be solely liable for any legal consequences, including claims, penalties, and damages.
- Ostello reserves the right to remove disputed content, suspend or terminate the Course Provider’s account, and withhold any pending payments to provide refunds to students
Indemnification:
The Course Provider agrees to indemnify and hold Ostello harmless from any claims, loses, or legal expenses arising from unauthorized use of third-party content.
Content Verification:
Ostello may verify the ownership and authenticity of uploaded content through manual or automated processes and take appropriate action if discrepancies are found
Termination
Ostello reserves the right to delist or terminate the partnership if:
- The Course Provider fails to meet commitments or quality standards
- The Course Provider abandons a course or fails to deliver promised content and support.
- Course Providers will be notified and given 15 days to rectify breaches before termination, except in cases of severe violations where immediate action is warranted
Dispute Resolution
- Disputes will be resolved amicably through negotiation.
- Unresolved disputes will be subject to arbitration under Indian laws, with New Delhi as the arbitration location. The arbitration process must be initiated within 30 days of dispute escalation.
